Abstrak

Mergers and acquisitions are a known phenomenon and develop not only in Indonesia, but throughout the world in line with the development of the business world. The aim is to exploit synergies and achieve the expected positive, but a lot of mergers and acquisitions that would not result in financial gain as expected or desired by the company. This is what motivates this study to analyze the effect of mergers and acquisitions on the financial performance of the company BUMN PT. TIMH Tbk/TINS whether to increase or decrease. Corporate performance is measured by using financial indicator ratio This : of the Debt Equity Ratio (DER), Cash Ratio (CR), Net Working Capital to Total Assets (WCA), Inventory Turn Over (ITO), Collection Period (COP), Sales to Total Assets (STA), Return on Equity (ROE), Return on Assets (ROA) dan Net Profit Margin (NPM). This study takes financial statement company PT. TIMAH that before and after mergers activity in period 1997-2003. the ratio of data obtained from the Indonesian Capital Market Directory (ICMD). The analysis used to test the hypothesis of this research is quantitative analysis with inferential statistical methods with the use of data normality test, parametik (independen sampel t-test). The test results using the Test showed that there was no significant difference for all the ratios after the merger and acquisition activity in all periods of observation and testing. But for the ratio of ROA, ROE, NPM after mergers showed significant difference expecet to decrease While another financial ratio not show the significant difference before and after acquisitions. . but the results are not strong enough to prove the effect of mergers and acquisitions on the financial performance BUMN of PT.
